TERMS OF SERVICE (NEW ZEALAND)

These terms apply to your use of this website and to any pod, furniture, accessory, installation or hire you purchase from us for delivery within New Zealand. Please read them before you order. By placing an order you agree to these terms.

In these terms, "we", "us" and "our" means FocusPod (ABN 73 690 612 590), and "you" means the person or organisation placing the order.


1. ORDERS AND ACCEPTANCE

Prices and product listings on this website are an invitation to order, not an offer. Your order is an offer to buy, and a contract is formed only when we send you an order confirmation or a signed quote acceptance.

We may decline or cancel an order before dispatch if the product is unavailable, if there has been a pricing or description error, if we cannot verify your payment or delivery details, or if we cannot deliver to your location. Where we cancel, we will refund everything you have paid in full.

Written quotes are valid for 30 days from the date issued unless the quote states otherwise. Prices, availability and lead times may change after that date.


2. PRICING, GST AND CURRENCY

Prices on the New Zealand store are shown in New Zealand dollars and include New Zealand GST where GST applies.

Delivery and installation charges are quoted separately and are shown before you complete your order.

We take care to price accurately, but if an obvious pricing or description error occurs we will contact you before processing your order and give you the choice of proceeding at the correct price or cancelling for a full refund.


3. PAYMENT AND DEPOSITS

For orders placed through the website checkout, payment is taken in full at the time of order.

For quoted orders, a deposit of 20 percent is payable to confirm your order and reserve stock or start production. The balance is payable before dispatch. We do not release goods for delivery until cleared funds are received.

Deposits on standard stock items are refundable if you cancel before dispatch. Deposits on custom colours and non-standard finishes are non-refundable once production has started, because those units are built to order and cannot be resold.

Where you are purchasing through a finance provider, the order is confirmed only once we receive written approval and a purchase order or payment authority from that provider.


4. LEAD TIMES AND AVAILABILITY

Stock availability and lead times quoted to you are estimates given in good faith. Custom colours and non-standard finishes typically require a 4 to 6 week production lead time.

We are not liable for delays caused by matters outside our reasonable control, including supplier delays, shipping and port delays, customs clearance, and freight carrier scheduling. If a delay becomes substantial we will contact you, and you may choose to wait or to cancel and receive a full refund of amounts paid for the delayed goods.


5. DELIVERY

Pods are supplied flat-packed on a pallet and are delivered by freight carrier.

Unless your quote says otherwise, delivery is to the ground floor loading area or kerbside at the delivery address. It is your responsibility to tell us before dispatch about anything that affects delivery, including lift access, loading dock restrictions, narrow access, stairs, booking requirements, restricted delivery hours, and site induction requirements.

You must have someone available to receive and sign for the delivery at the agreed time. If a delivery cannot be completed because the site is not accessible, no one is available, or the information you gave us was incomplete or incorrect, you are responsible for any redelivery, storage or waiting time charges the carrier passes on.

Risk in the goods passes to you on delivery. Title in the goods remains with us until we have received payment in full.


6. INSTALLATION

Where installation is included in your order, we or our nominated contractor will deliver, assemble, connect and test the pod.

You are responsible for providing:

A level, stable, load-bearing indoor floor suitable for the weight of the pod, and clear access from the delivery point to the installation position.

A standard power outlet within reach of the pod's supply lead.

Any site access, security clearance, lift booking, insurance certificates or inductions your building requires.

If our installer arrives and cannot proceed because the site is not ready, we may charge a return visit fee.

Where you assemble the pod yourself, you are responsible for following the supplied instructions. Damage caused by incorrect assembly is not covered by warranty.


7. SITE SUITABILITY, CONSENTS AND INTENDED USE

Pods are free-standing indoor furniture. They are for indoor commercial and residential use only and must not be installed outdoors or in areas exposed to weather or moisture.

Pods plug into a standard power outlet and do not require an electrician, trade work or structural modification to install. However, you are responsible for confirming that installing a pod is permitted under your lease, body corporate rules, building management requirements, fire and evacuation plan, and any applicable building or workplace requirements at your site. We can supply specifications, weights and certification documents on request to assist with that assessment.

A pod is not a fire-rated enclosure, an evacuation refuge, or a substitute for a building consent for permanent works.


8. PRODUCT INFORMATION AND SPECIFICATIONS

We take reasonable care to describe our products accurately. Dimensions, weights and technical specifications are nominal and subject to normal manufacturing tolerances. We may make minor changes to materials, components and finishes where the change does not reduce the overall quality or performance of the pod.

Photographs, renders and configurator images are illustrative. Colours, fabrics and finishes may vary from how they appear on your screen. Physical samples and swatches are available on request before you order, and we recommend requesting them if exact colour matching matters to you.

Furniture packages, accessories and installation are priced separately and are only included where your quote or order confirmation says so.


9. ACOUSTIC PERFORMANCE

Our pods are designed to substantially reduce sound transmission and improve speech privacy. They are sound-reducing, not soundproof. No pod eliminates sound entirely.

Independent test results we publish are obtained under controlled laboratory conditions in accordance with the relevant standard. Real-world performance varies with room acoustics, background noise, adjacent activity, speech volume, and how the pod is used, and will not match laboratory figures exactly. Test reports are supplied in full on request. We do not warrant a specific decibel result at your site.


10. HIRE AND RENTAL

Pods supplied on hire remain our property at all times. Hire is subject to these terms and to the hire agreement or quote we issue for your booking.

For the duration of the hire you must:

Use the pod only at the agreed location and for the agreed purpose, and not move, relocate, dismantle or modify it without our written agreement.

Keep the pod clean, indoors, and free from damage, marking, adhesive, drilling, painting or wrapping.

Not sublet, hire out or transfer the pod to anyone else.

Tell us immediately if the pod is damaged, faulty or unsafe.

You are responsible for loss of, or damage to, the pod while it is in your possession, other than fair wear and tear or damage caused by us. We will charge for repair or replacement, and for cleaning where the pod is returned in an unreasonable condition.

11. YOUR CONSUMER RIGHTS, WARRANTY AND RETURNS

Our goods and services come with guarantees that cannot be excluded under the Consumer Guarantees Act 1993. Nothing in these terms limits or excludes those guarantees, or your rights under the Fair Trading Act 1986.

Our pods carry a 10 year structural warranty and a 3 year electrical warranty from the date of delivery. Full warranty terms, exclusions, return conditions and refund timeframes are set out in our Returns and Refunds Policy, which forms part of these terms.


12. LIABILITY

To the extent permitted by law, and other than our obligations under the Consumer Guarantees Act 1993, the Fair Trading Act 1986 and our warranty:

Our total liability to you in connection with any order is limited to the amount you paid us for the goods or services giving rise to the claim.

We are not liable for indirect or consequential loss, including loss of profit, loss of revenue, loss of business opportunity, loss of data, or business interruption.

We are not liable for loss or damage caused by your failure to follow assembly, installation, use or maintenance instructions, by unauthorised modification, or by use of the pod for a purpose it was not supplied for.

Nothing in these terms limits our liability for death or personal injury caused by our negligence, or for fraud.


13. EVENTS OUTSIDE OUR CONTROL

We are not liable for any failure or delay in performing our obligations caused by events outside our reasonable control, including natural events, fire, flood, epidemic, industrial action, war, civil unrest, government action, shipping and port disruption, carrier failure, and failure of utilities or communications networks. If such an event continues for more than 60 days, either of us may cancel the affected order and we will refund amounts paid for goods not delivered.


14. USE OF THIS WEBSITE

You may use this website for lawful purposes only. You must not attempt to gain unauthorised access to any part of the site, interfere with its operation, introduce malicious code, scrape or harvest content or data, or use the site in a way that could damage or overburden it.

We take reasonable steps to keep this website available and accurate, but we do not guarantee that it will be uninterrupted, error free, or free of harmful components.


15. INTELLECTUAL PROPERTY

All content on this website, including text, product names, photographs, renders, 3D models, configurator assets, specifications, documents and design, is owned by us or our licensors and is protected by copyright and other intellectual property rights.

You may view, download and print content for your own internal evaluation and purchasing purposes. You may not copy, republish, resell or use our content for any commercial purpose without our written permission.

Independent test reports we supply are provided for your own assessment of the product. Some carry restrictions from the issuing laboratory on reproduction, and must be reproduced only in full where they are shared.


16. PRIVACY

Any personal information you give us is handled in accordance with our Privacy Policy and with the Privacy Act 2020. We use your information to process and deliver your order, provide support and warranty service, and, where you have agreed, to send you marketing communications. You can unsubscribe at any time.


17. CHANGES TO THESE TERMS

We may update these terms from time to time. The version published on this website at the time you place your order is the version that applies to that order.


18. GENERAL

If any part of these terms is found to be unenforceable, the rest of the terms continue to apply.

If we do not enforce a right under these terms straight away, that does not mean we have given up that right.

You may not transfer your rights or obligations under these terms without our written consent.

These terms, together with your quote or order confirmation and our Returns and Refunds Policy, form the entire agreement between us in relation to your order.


19. GOVERNING LAW AND DISPUTES

These terms are governed by New Zealand law, and the New Zealand courts have jurisdiction.

If you have a complaint, please contact us first so we can try to resolve it. If we cannot resolve it between us, you can contact Consumer Protection on 0800 943 600 or at consumerprotection.govt.nz for free information about your rights, or refer the matter to the Disputes Tribunal for claims up to the Tribunal's monetary limit.
